Introduction
These Terms of Service (the “Terms”) govern your access to and use of the DAI Conference App and the related services, features, and content made available through it (together, the “Application”) by DAI Securities LLC (“DAI Securities,” “we,” “us,” or “our”).
The DAI Conference App is a private conference and event application provided for authorized conference attendees, employees, registered representatives, invited guests, administrators, and other individuals to whom DAI Securities has granted access. Depending on the conference and the permissions assigned to you, the Application may provide conference information, schedules and calendar events, news and announcements, attendee or participant information, conference-specific communications, direct messaging, push notifications, user profiles, administrative conference management tools, and other conference-related resources.
By accessing or using the Application, you agree to these Terms. If you do not agree to these Terms, do not access or use the Application.
The Application is an event and communication tool. It is not intended to provide investment advice, securities recommendations, tax advice, legal advice, or financial planning advice. Please review Section 12 (No Investment Advice) carefully.
1.Eligibility and Authorized Use
The Application is intended only for authorized users. Access may be limited to individuals who have been invited, registered, approved, or otherwise authorized by DAI Securities.
- Access to one conference does not necessarily provide access to every conference.
- You may access only the conferences, content, and information for which you have been granted permission.
- You must provide accurate and current information when creating or maintaining your account, and update it when it changes.
- You may not impersonate another person or use another person’s account or credentials.
- DAI Securities may deny, limit, suspend, or terminate access to the Application or to any conference when it determines doing so is appropriate.
2.Account Security
You are responsible for maintaining the security of your account and your authentication credentials, and for activity that occurs under your account. You agree to:
- Keep your password and other credentials confidential.
- Not share your account with any other person.
- Protect the devices you use to access the Application.
- Use any authentication mechanisms we require, including multi-factor authentication.
- Notify us promptly at operations@daisecurities.com if you suspect unauthorized access to your account or the Application.
- Log out or otherwise secure access when using a shared, public, or unsecured device.
DAI Securities may implement security measures it considers appropriate, including multi-factor authentication, device-supported biometric authentication, email verification codes, session controls and timeouts, device restrictions, and other safeguards. These measures may change over time.
3.Conference Access
Conference content within the Application is permission-based. You may be able to access only those conferences to which you have been assigned or otherwise granted access.
DAI Securities administrators may, at their discretion:
- Create conferences.
- Archive conferences.
- Assign or remove participants.
- Control access to conference content.
- Modify schedules and conference information.
- Remove or restrict user access.
Conference availability, content, and permissions may change at any time, including during or after a conference.
4.Acceptable Use
You agree that you will not:
- Attempt to gain unauthorized access to another user’s account or to any conference.
- Circumvent, disable, or interfere with security or authentication controls.
- Use or share another user’s credentials.
- Attempt to access information outside the scope of your authorization.
- Interfere with, disrupt, or place undue load on the Application.
- Introduce malicious software, code, or similar harmful material.
- Probe, scan, or test the vulnerability of the Application or related systems without our prior written authorization.
- Reverse engineer, decompile, or attempt to extract source code from the Application, except to the extent such restriction is prohibited by applicable law.
- Use automated systems, bots, scrapers, or similar mechanisms in connection with the Application without authorization.
- Use the Application for any unlawful, fraudulent, abusive, threatening, harassing, defamatory, or otherwise inappropriate purpose.
- Upload or transmit content that violates applicable law or the rights of any other person or entity.
- Use messaging functionality to send spam, chain messages, or unauthorized solicitations.
5.Messaging and Communications
The Application may allow you to send and receive messages, announcements, and other communications with other authorized users. You should not assume that Application messaging is an appropriate channel for every type of communication.
You should not use conference messaging to:
- Place securities orders.
- Provide trade instructions.
- Request securities transactions.
- Transmit funds-transfer or payment instructions.
- Provide time-sensitive investment instructions.
- Request, give, or rely upon investment recommendations or investment advice, unless such advice is separately provided through an authorized channel.
Where required, you must use DAI Securities’ approved business channels for regulated, transaction-related, or account-related communications.
Messages and other communications sent through the Application may be retained, reviewed, monitored, archived, or produced where necessary or appropriate for security, regulatory, compliance, supervisory, legal, or legitimate business purposes. Handling of personal information is described in the Privacy Policy, and you should not expect a level of confidentiality beyond what the Privacy Policy and applicable law provide.
6.Push Notifications
If you enable them, the Application may send push notifications regarding new messages, conference announcements, schedule information, conference updates, and other Application-related activity.
Delivery of push notifications is not guaranteed. Notifications depend on your device settings, operating system settings, network connectivity, and third-party notification services outside our control. You should not rely on push notifications for emergency, time-sensitive, securities trading, or other critical communications.
7.User Information and Privacy
Our collection and use of personal information in connection with the Application is governed by the DAI Conference App Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy is not repeated here.
8.Biometric Authentication
Certain devices allow you to sign in using device-supported biometric functionality, such as fingerprint or facial recognition. If you choose to use this feature:
- Biometric authentication is performed entirely by your device and its operating system.
- DAI Securities does not need to receive or store your fingerprint or facial biometric template merely because you use device biometric authentication; the device confirms or denies the authentication attempt.
- Availability of biometric authentication depends on your device, operating system, and configuration, and may not be available to all users.
- You remain responsible for securing your device, including any biometric profiles enrolled on it, because anyone whose biometrics are enrolled on the device may be able to unlock access.
9.Electronic Communications
By using the Application, you consent to receive Application-related communications electronically, including notices delivered within the Application, by email, or by push notification where applicable. Electronic notices satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.
This consent does not replace any separate consent that may be legally required for particular types of communications, and it does not create any consent to marketing or advertising communications.
10.Intellectual Property
The Application, including its software, design, layout, branding, trademarks, graphics, text, interfaces, and other proprietary content, is owned by or licensed to DAI Securities or its applicable licensors and is protected by intellectual property and other laws.
Subject to these Terms, DAI Securities grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Application for its intended conference-related purpose. No ownership rights are transferred to you, and all rights not expressly granted are reserved.
11.Third-Party Services
The Application may rely upon or interact with third-party services, including hosting, authentication, notification, analytics, communications, and other technology providers, as well as mobile app stores and operating systems.
We do not control all third-party services and cannot guarantee their availability, performance, or continuity. Your use of a third-party service may also be subject to that provider’s own terms and policies.
12.No Investment Advice
The DAI Conference App is an event and communication application. It is not a trading, brokerage, or investment advisory platform.
Nothing provided through the Application should, by itself, be construed as:
- Investment advice.
- A recommendation to buy, sell, or hold any security.
- An offer or solicitation to buy or sell any security.
- Tax advice.
- Legal advice.
- Accounting advice.
Conference materials, sessions, and communications may discuss financial products, investments, markets, or other financial topics. You should evaluate such information in the context in which it was provided, consider your own circumstances, and consult appropriate professionals where necessary. Nothing in these Terms limits or alters any obligation DAI Securities may have under applicable securities laws or regulations.
13.Conference Content
Schedules, speakers, sessions, locations, materials, announcements, and other conference information are subject to change. DAI Securities may modify, cancel, replace, reschedule, or remove conference content at any time and cannot guarantee that every user will receive advance notice of a change.
Conference information displayed in the Application is provided for convenience, and the most current information may be communicated through other means.
14.Application Availability
DAI Securities does not guarantee uninterrupted or error-free access to the Application. Access may be limited or interrupted by:
- Scheduled or emergency maintenance.
- Software updates or version requirements.
- Network or internet outages.
- Third-party service failures.
- Device, operating system, or compatibility issues.
- Security incidents or protective measures.
- Other circumstances outside our reasonable control.
DAI Securities may modify, suspend, or discontinue all or part of the Application, including specific features, at any time.
15.Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Application and related services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties or conditions of any kind, whether express, implied, or statutory.
Without limiting the foregoing, DAI Securities does not warrant that the Application will be uninterrupted, timely, secure, or error-free; that content or information will be accurate, complete, or current; or that the Application will meet your requirements or be suitable for any particular purpose. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, and nothing in these Terms excludes any warranty or obligation that cannot lawfully be excluded.
16.Limitation of Liability
To the maximum extent permitted by applicable law, DAI Securities and its affiliates, officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of or inability to use the Application, including undelivered notifications or messages, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of DAI Securities arising out of or relating to the Application and these Terms will not exceed one hundred U.S. dollars (US $100), given that the Application is provided to authorized users at no charge.
These limitations apply only to the maximum extent permitted by applicable law. Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation, or any liability or obligation arising under applicable securities laws or regulations, or under any separate written agreement between you and DAI Securities or an affiliate.
17.Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless DAI Securities and its affiliates, officers, directors, employees, and agents from and against losses, liabilities, damages, costs, and reasonable attorneys’ fees arising out of or relating to:
- Your unlawful use of the Application.
- Your violation of these Terms.
- Your infringement or misappropriation of the rights of a third party.
- Your intentional misuse of the Application or of another user’s credentials.
This obligation does not apply to the extent a loss results from DAI Securities’ own negligence or misconduct, and it does not apply where prohibited by applicable law.
18.Suspension and Termination
DAI Securities may suspend, limit, or terminate your access to the Application or to any conference when reasonably necessary, including for:
- Security reasons.
- Suspected unauthorized use.
- Violation of these Terms.
- Loss of conference eligibility.
- Conclusion of a conference or of your relationship with DAI Securities.
- Legal or regulatory requirements.
- Protection of DAI Securities, its users, or its systems.
Upon termination, your right to access and use the Application ends immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and severability — will survive.
19.Regulatory and Legal Compliance
DAI Securities operates in a regulated industry and may take actions reasonably necessary to comply with:
- Applicable federal and state law.
- Securities laws and regulations.
- Applicable regulatory requirements.
- Court orders, subpoenas, and lawful government requests.
- Recordkeeping and retention obligations.
- Compliance and supervisory obligations.
These actions may include retaining, reviewing, archiving, restricting, or producing information or communications associated with the Application. Not every communication sent through the Application is necessarily a regulated broker-dealer communication; the applicable treatment depends on the content, context, and applicable requirements.
20.Changes to These Terms
DAI Securities may update these Terms from time to time. When we do, we will revise the “Last Updated” date displayed at the top of this page.
Where required or appropriate, we may provide notice of material changes through the Application, by email, or by other reasonable means. Where permitted by applicable law, your continued use of the Application after an update takes effect constitutes acceptance of the updated Terms.
21.Governing Law
These Terms and your use of the Application are governed by the laws of the State of Georgia, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
Nothing in this section limits any right or protection available to you under the mandatory laws of your place of residence, or under applicable federal securities laws and regulations.
22.Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary or, if modification is not possible, severed. The remaining provisions will continue in full force and effect to the extent permitted by law.
23.Entire Agreement
These Terms, together with the DAI Conference App Privacy Policy and any other notices or agreements that specifically govern the Application, constitute the applicable terms governing your use of the DAI Conference App.
These Terms do not supersede or modify any separate agreement governing your employment, independent-contractor relationship, brokerage relationship, advisory relationship, securities account, or other separate relationship with DAI Securities LLC or any affiliate. In the event of a conflict, that separate agreement governs with respect to its subject matter.
